Website Services Agreement
This agreement is between Ruby Throat Web Co. (April Everingham, Paige, Texas), called "Ruby Throat" below, and the client named below. It explains what you can expect from me, what I need from you, and how payment works, so we both know where we stand before any work begins.
1. The project
Ruby Throat will design and build the website described in your written quote. The quote lists the pages, features and price for your project and is part of this agreement. Anything not listed in the quote is extra work, and I'll give you a price for it before starting.
2. Payment
- Deposit: 50% of the project price is due before work begins. Your spot on my schedule is reserved once the deposit is paid.
- Final payment: the remaining 50% is due when the site is finished and before it goes live on your domain.
- How to pay: Venmo to @rubythroatwebco (the Ruby Throat Web Co. business profile), or another method we agree on in writing. Please double-check the handle before sending, and include your business name in the payment note.
- Late payments: if the final payment is more than 14 days late, work and launch are paused until it's paid.
3. Revisions
Your price includes two rounds of revisions on the design. A round is one list of changes sent together. More rounds, or changes that add new pages or features, are billed at $40 an hour, and I'll let you know before doing that work.
4. What I need from you
- Your text, photos, logo, business hours, prices and other content, sent within 14 days of the start date.
- Feedback on each draft within 7 days.
- Confirmation that you own or have permission to use everything you send me, including photos and logos.
If content or feedback is more than 30 days late, the project is paused and may need a new timeline. Your deposit stays applied to the project.
5. Timeline
Most small business sites take 2 to 4 weeks from the time I receive your content. Your quote gives the timeline for your project. Delays in content or feedback move the finish date by the same amount.
6. Your domain and hosting
- You buy your domain (your web address, like yourbusiness.com) from a company such as GoDaddy, in your own name and account. You own it, and you pay its yearly renewal fee directly to that company.
- I connect it for you. Once you've bought it, you give me access to manage its settings (GoDaddy calls this "Delegate Access"; other companies have something similar), or we do it together over the phone. Connecting your domain to your new website is included in your project price.
- I won't change anything in your domain account except what's needed to connect your website. I'll leave your email settings alone.
- Please keep auto-renew turned on. If your domain expires, your website and any email on that domain stop working.
- Hosting is either on your own account or included in a Ruby Throat care plan. Other fees from outside companies are your responsibility unless your quote says otherwise.
7. Who owns the website
Once the project is paid in full, you own the finished website, including its text, images you provided and the design made for you. Until then, the work belongs to Ruby Throat. I may show your website in my portfolio and on my own site, unless you ask me not to in writing.
8. Monthly care plans (optional)
If you choose a care plan, it's billed monthly and covers what's listed in your quote, such as hosting, small text and photo updates, and keeping the site running. You can cancel anytime with 30 days' notice. Larger changes outside the plan are quoted separately.
9. Canceling a project
Either of us can end the project with written notice (email is fine). The deposit is non-refundable once work has started. If work beyond the deposit has been done, you'll pay for the completed portion before files are handed over.
10. Outside services and limits
Websites rely on outside companies such as domain sellers, hosting providers and Google. Ruby Throat isn't responsible for their outages, price changes or policy changes. I'll build your site carefully, but I can't guarantee specific search rankings or sales results. Ruby Throat's total responsibility under this agreement is limited to the amount you paid for the project.
11. The fine print
This agreement, together with your quote, is the whole agreement between us. Changes must be in writing, and email counts. This agreement follows the laws of the State of Texas.
Questions about anything here? Call or text (512) 549-9080 or email service@rubythroatwebco.com before signing. I'm happy to walk through it with you.
